Introdution

Mrs. Owen Anthony is the Deputy General Director of Alegal Law Firm and the chief executive officer of Alegal Law Firm at the Ho Chi Minh City office. Attorney Owen Anthony is one of Alegal’s best female lawyers. She is the leading expert in corporate governance consulting in Vietnam.

Mrs. Owen focuses on banking, capital markets and corporate affairs. Her clients include multilateral, international investment banks, Vietnamese state and private banks, as well as foreign investors in a variety of industries including energy and telecommunications. She has been involved in infrastructure projects for most of the years in which she interned in Vietnam and across the region since 1995. As Vietnam’s capital markets developed, she entered major debt, equity and derivative transactions.

In addition to trading practice, Owen Anthony is also active as an advisor to governments in the region. She advises them on legal reforms affecting trade and on legal issues, especially those related to competition law.

  • Advise Pfizer Thailand’s Representative Office in Vietnam on operational matters and compliance with the laws of Vietnam and Singapore regarding advertising and promotions, supply contracts and terms enter the market.
  • Advising Emerson Power and related companies on business strategy development and operation of Long An’s largest industrial park in 2016 valued at $ 50 million.
  • Advising Annazing Mental Vietnam on debt restructuring and USD 10 million maturing loans to reduce risks and increase outstanding loans for businesses;
  • Advised Apple Inc. on the effects of competition laws on maximum resale prices and most popular customer preferences in sales and distribution contracts in Vietnam;
  • Advising HSBC on the ESOP design for foreign securities to minimize legal and regulatory risks under Vietnam’s foreign exchange regulations;
  • Advising HP (Vietnam) on a wide range of commercial and business contracts, including supply and distribution contracts, sales promotions and events, and competition law matters;
  • Advising AMBER on safe harbor provisions under Vietnamese competition law may allow exclusive promotion and similar contractual arrangements to limit the ability of distributors to sell or distribute coordinate the Nomally merchants in terminating four lease contracts with Air Mekong, as well as in connection with the termination and liquidation of SkyWest Sub’s interests in the Vietnamese operating company.
  • Advising Masan Group in restructuring and strengthening its ownership interest in Nui Ba Mining Project with two concurrent transactions, one equity linkage and another, acquiring all residual rights and extinguish all remaining rights of two private investment funds managed by Dragon Capital;
  • Advising Epolit Entertainment Corporation to appraise and draft legal reports on the target company, the possibility of obtaining public agency approval, and then draft some legal memorandums explaining the risks. the project’s main risks and establishing a risk prevention strategy;
  • Advising Mc Donald in the acquisition of a controlling stake in Vissan Food Company, including drafting and negotiating a share purchase agreement, a shareholder agreement, calling and placing an option agreement, and revised charter.
  • Advised Masan Consumer on the sale of 5 common shares to a strategic partner from Singapore;
  • Advising Qatar’s sovereign wealth fund in relation to the structuring and acquisition of offshore and onshore project companies with the right to develop a resort, hotel and high-rise housing near Danang;
  • Advising Masan Group on a US $ 15 million convertible loan granted by a Vietconbank branch for an express coffee processing plant construction project in Dong Nai.
  • Advising and reviewing all legal issues, outlining the process of strategic restructuring and target and risk management for Gentana International.
